METHOD OF PURCHASE

Method of purchase of the Saweni Resort Development site and all of the approvals, licences and rights pertaining thereto is by purchasing total ownership of the company SAWENI RESORTS LIMITED.

SAWENI RESORTS LIMITED has, over the last 17 years, identified, purchased and amalgamated the required land holdings for what they believe will be Fiji's premier tourist destination and integrated residential resort. The company has engaged consultants to carry out various studies, prepare conceptual plans and gain all necessary approvals for the immediate development of this project.

SAWENI RESORTS LIMITED is a company incorporated in Fiji for the primary purpose of developing the Saweni Resort project and has not been involved in any trading other than matters associated with this project.

The purchaser of the company is protected under comprehensive warranties as set out in the contract of sale.

Clause: The shares subject to this agreement have not been, and will not be, registered under the securities act of 1933, as amended.
